Agreement & Acceptance of Terms
These Terms of Use ("Terms") constitute a legally binding contract between you ("User", "Developer", or "Entity") and OmniIDE ("Company", "We", "Us", or "Our"), a registered MSME corporate entity under the Government of India (UDYAM-KR-03-0681404), governing your download, access, installation, execution, and deployment of OmniIDE software client binaries, documentation, and online developer portals (https://omniide.com).
By downloading, executing, or accessing OmniIDE, you explicitly acknowledge that you have read, understood, and agreed to be legally bound by all terms, policies, and conditions set forth herein.
Software License Grant & Open Source Licensing
Subject to your compliance with these Terms, OmniIDE grants you a worldwide, non-exclusive, royalty-free, perpetual license to install, run, modify, inspect, and deploy the software client for commercial, personal, institutional, or open-source development.
Core components of the OmniIDE developer suite are distributed under open-source software licenses (including the MIT License). Nothing in these Terms limits or overrides your open-source rights under applicable component licenses.
Acceptable Use Policy & Security Guardrails
You agree not to utilize OmniIDE or its autonomous agent framework for any harmful or illegal activities, including:
- Developing, compiling, or deploying malware, ransomware, spyware, or exploit scripts intended for unauthorized system intrusion.
- Attempting to break, reverse-engineer, or tamper with the Hardened Local Sandbox security boundary.
- Using automated AI agent scripts to perform unauthorized network penetration attacks, credential brute-forcing, or denial-of-service operations.
Autonomous AI Agent Execution & Developer Responsibility
Important Legal Notice on AI Code Execution
OmniIDE incorporates autonomous AI agent features (such as Omni-Agent self-healing terminal execution). All AI suggestions, code patches, terminal command scripts, and refactoring outputs are provided for developer assistance. As the developer, you retain sole responsibility for reviewing, testing, auditing, and validating all AI-generated code prior to deployment in production environments.
API Credentials, Third-Party Costs & Usage Limits
When connecting OmniIDE to cloud AI model endpoints (such as Google Gemini API), you supply your own API key ("Bring Your Own Key"). You are strictly responsible for:
- Securing your API keys against unauthorized access or exposure.
- All usage costs, rate limits, and billing incurred under your cloud provider accounts.
- Adhering to the third-party API provider's terms of service. OmniIDE bears zero financial liability for third-party API billing overruns.
100% Code Ownership & Intellectual Property
Absolute Developer Ownership: You retain 100% unencumbered intellectual property ownership of all source code, software architecture, files, and assets built or refactored using OmniIDE. OmniIDE claims zero ownership, zero copyright, and zero royalty rights over user outputs.
Brand Trademarks: The name "OmniIDE", logos, and brand assets are protected trademarks of OmniIDE and may not be reproduced without written authorization.
Disclaimer of Warranties ("AS IS" Provision)
OmniIDE software and website services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, or uninterrupted performance.
Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall OmniIDE, its founders (Mohammed Nihan, Shaiban Faraz Khan), or contributors be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data corruption, or hardware damage arising out of your software execution.
Indemnification
You agree to defend, indemnify, and hold harmless OmniIDE and its team members from any claims, damages, liabilities, costs, or expenses (including legal fees) arising out of your breach of these Terms or software misuse.
Software Updates & Terms Modifications
We reserve the right to modify these Terms at any time. Modified terms will post directly with an updated "Revised Date". Continued use of OmniIDE after posted updates constitutes legal acceptance of revised terms.
Governing Law & Judicial Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the **Republic of India**. Any legal action or dispute arising under these Terms shall be instituted exclusively in the competent courts located in **Bengaluru, Karnataka, India**.
